Investment Funds

Julia Bruzzesehas been appointed Partner in the Investment Funds practice. She joined CMS in 2020 and has been specialising for more than 10 years in regulated and non-regulated investment funds. She mainly advises clients on the regulatory, corporate and organisational aspects of the structuring, setting-up and ongoing operations of investment funds, with a specific focus on UCITS and AIFs. She also provides assistance to investment fund managers and other service providers (e.g. depositaries, administrative agents, etc.) on regulatory-related issues.Prior to joining CMS Luxembourg, she worked in leading Luxembourg law firms and acquired experience in investment funds within a major international law firm that specialised in investment funds in Paris.

Julia’s appointment puts CMS Luxembourg’s partnership into double digits, with 10 partners.

Senior Counsel

Corporate/M&A

Miruna Poenaruhas been appointed Senior Counsel. She specialises in mergers and acquisitions and private equity investments across diverse portfolios and has long-standing experience in corporate governance, for both domestic and international corporates. Before joining CMS Luxembourg in 2021, she worked for several years in a magic circle law firm in Luxembourg. She is also an active member of our German desk and has extensive experience of handling transactions involving clients from the DACH region.

Counsels

Banking & Finance

Charlotte Demeuldrehas been appointed Counsel. She advises on domestic and cross-border financing arrangements as well as financial collateral arrangements. Prior to joining CMS Luxembourg in 2021, she worked for more than seven years in the Banking & Finance department of a top-tier Luxembourg law firm.

Capital Markets

José Ocañarecently took on the role of Counsel within the CMS Investment Funds and Capital Markets teams. Since 2019, he has been providing advisory services to clients, specialising in the structuring of securitisation transactions, tokenisation projects and the issuance of both listed and non-listed financial instruments, including debt securities such as green or social bonds.

Corporate/M&A

Johann Parmantierhas been promoted to Counsel. Since joining CMS in 2020, he has been focusing on private equity, joint venture transactions, management incentive plans, mergers and acquisitions and more general corporate matters, such as distributions.

Investment Funds

Stéphane Boutoundoutakes on his new role of Counsel. Since joining CMS in 2016, he has been advising on all types of alternative investment funds (including SIF, SICAR and RAIF) and other similar vehicles, such as securitisation vehicles.

Harrison Danshas been appointed Counsel. He joined CMS in 2021 and specialises in structuring Luxembourg alternative investment funds (regulated and non-regulated) with private equity, real estate, debt, impact and other related strategies. He has been involved in the establishment of several European Long-Term Investment Funds (ELTIFs).

Senior Associates

Banking & Finance

Sarah Hantscherhas been promoted to Senior Associate. After working for other Luxembourg law firms, she joined CMS in 2020 and mainly advises Luxembourg and international banks and financial services providers, as well as insurance and reinsurance undertakings and intermediaries, on Luxembourg and European regulatory matters.

Mélanie Poirrierhas been appointed Senior Associate. She joined CMS in 2021 from another law firm and her main focus has been advising Luxembourg and international banks, financial services providers, and as insurance and reinsurance undertakings and intermediaries on Luxembourg and European regulatory matters.

Corporate/M&A

Cédric Dvoratchekhas been promoted to Senior Associate. Since joining in CMS in 2021, he has been involved in corporate law matters, such as mergers and acquisitions, as well as domestic and cross-border company restructuring, financing and refinancing companies. He also advises clients on contract law matters.

Angélique Eguetherhas moved up to Senior Associate. Working for CMS since 2019, she has advised on all types of corporate law operations such as incorporating of Luxembourg companies of any legal form, setting up companies’ structures, mergers and acquisitions, restructurings and cross-border migrations. She also assists clients with commercial law matters.

Adrien Françoishas been promoted to Senior Associate. A member of the CMS Corporate/M&A practice since 2021, he has been advising clients on a wide range of corporate matters across all sectors including mergers and acquisitions, equity financings as well as structuring and restructuring operations. He assists both national and international clients throughout the complex stages of corporate life.

Employment

Leslie Ledrich, who joined CMS Luxembourg in 2020, is now Senior Associate. She advises both national and international clients on the full spectrum of employment issues including employment contracts, individual and collective redundancies, business restructuring, HR audits and employment regulations.

Investment Funds

Julie Pelcéhas been promoted to Senior Associate. Since joining CMS in 2021, she has advised clients on several aspects of sustainable finance, including ESG considerations within investment solutions and compliance matters with sustainability-related regulations. She has also been involved in the structuring of investment and securisation vehicles and issuances of debt instruments.

Julien Roberthas been promoted to Knowledge Lawyer – Senior Associate. Since 2022, he has been supporting the funds department with legal research, drafting publications and keeping the team abreast of legal developments in the market.

IP/TMC

Milan Danshas been promoted to Senior Associate. Since he joined CMS Luxembourg, he has played a leading role in the development of our IP/TMC/Data Protection practice. He provides legal guidance and support to businesses of all sizes, helping them protect their intellectual property assets and navigate complex technology and media law issues.
