DENVER February 1, 2021 — Arnold & Porter announced today that Michele Rowland and John Ruppert have joined the firm's Corporate & Finance practice, resident in Denver. Working together for more than a decade, Ms. Rowland and Mr. Ruppert represent clients with respect to mergers and acquisitions, corporate and commercial finance transactions, restructurings and reorganizations, and general corporate matters. Mr. Ruppert also represents clients relating to executive compensation and tax.

Ms. Rowland focuses her practice on mergers and acquisitions, corporate and commercial finance transactions, restructurings and reorganizations, and general corporate matters. She represents middle-market companies in a variety of transactions and strategies, including: stock and asset sales, leveraged buyouts, auction sales, strategic add-on acquisitions, divestitures and carve-out transactions, business combinations, and distressed situations. Ms. Rowland also represents borrowers in their finance transactions, including: leveraged transactions, dividend recapitalizations, restructurings and reorganizations, and corporate financings. She has extensive experience in senior secured, first and second lien, unitranche and asset based financings. Ms. Rowland earned her JD from Brooklyn Law School and received her BA from the University of Iowa, with honors.

Mr. Ruppert focuses on mergers and acquisitions, private equity, corporate and commercial finance, business combinations, reorganizations, recapitalizations, restructurings, and executive compensation along with the federal income tax matters relating to these transactions. He represents private equity funds and portfolio companies in a variety of industries. Mr. Ruppert also represents private equity funds in connection with their formation, capital raises, and acquisitions and dispositions of portfolio companies, as well as the boards of directors and senior management regarding structuring deals, and related tax, finance, and executive compensation. He earned his LLM from New York University School of Law, where he was editor of the Tax Law Review, and his JD from the University of Denver Sturm College of Law, where he was editor-in-chief of the University of Denver College of Law Review and elected to Order of St. Ives. Mr. Ruppert earned his BA from Northwestern University.
