California’s pre-transaction notice requirements apply to far more than just mergers and acquisitions. If your transaction will close on or after April 1, 2024, you may need to submit a detailed written notice to the Office of Health Care Affordability (OHCA). If OHCA believes the transaction may impact market competition or health care costs, it will be subject to further examination before it can close. The speakers will describe the who, what, where, when, and how of these new requirements as well as lessons learned from OHCA’s initial rollout. Our speakers will also explain the new requirement to notify the California Attorney General (AG) in advance of certain pharmacy transactions. In addition, real-world examples of transactions that OHCA and the AG may review will be discussed.
