Cadwalader advised new client PW Partners in its recent acquisition of 5% of the common stock of BJ's Restaurants (NasdaqGS: BJRI), an American restaurant and brewhouse chain headquartered in Huntington Beach, California, and PW Partner's nomination of two nominees to stand for election as directors at BJ's 2024 annual meeting of stockholders. As noted in an official announcement yesterday, the parties subsequently entered into a cooperation agreement, pursuant to which BJ's engaged PW Partners to provide recommendations regarding cost structure and efficiencies to BJ's Restaurants and its board of directors. In connection with the execution of the cooperation agreement, PW Partners agreed to withdraw its nomination notice.
