Accession by Chiltern - Pesquisa Clinica Ltda.
("Chiltern Brazil") to the Intercreditor Agreement
entered into in connection with a term loan facility pursuant to
the terms of a Senior Facilities Agreement granted to parent
Chiltern International Ltd. ("Borrower"), a limited
liability company of a global group with significant market share
in the supporting, researching and coordination of health projects,
including the activities of importation, exportation, distribution
of pharmaceutical products, Lloyds TSB Bank plc, Haymarket
Financial Luxembourg 3 S.a.r.l., Siemens Financial Services, Inc.,
Bank of Scotland plc, as Lenders, and Lloyds TSB Bank PLC, as
security agent.

October, 17th, 2012
Comments
The accession was a condition of the facility, which in
turn is fundamental to support the operational activities of the
Borrower, enabling the refinancing of costs and the repayment of
prior loans.
